1% turnover tax under Small Business Status, applicable up to 500,000 GEL annual turnover. Solo professionals, freelancers, IT contractors, consultants. Single-owner structure with no shareholder agreement and a simplified turnover declaration.

0% corporate tax on qualifying IT income exported to foreign clients. 0% VAT on services exported outside Georgia. 5% withholding on dividend distributions when funds leave the company. For IT companies with foreign clients — software development, web services, IT consulting. Requires Ministry of Economy approval after the underlying entity is registered.

International Company Status — pricing on request#
5% corporate tax + 0% dividend withholding + 5% personal income tax on qualifying employee salaries. Restricted to IT and maritime sectors per Resolution 619. Requires 2 years of operating history and Ministry of Finance approval. For established operations restructuring their tax base or for B2B staffing decisions placing IT teams in Georgia.

Free Industrial Zone — pricing on request#
0% across corporate tax, VAT, import duties, and property tax for qualifying activities inside one of four zones (Tbilisi, Kutaisi, Poti, Hualing). For physical-goods operations — manufacturing, processing, logistics, trading. Substance and operational footprint required inside the zone.

Frequently asked questions#
Can I set up a Georgian company entirely remotely?#
Yes for all four structures via Power of Attorney. You sign the PoA in your home jurisdiction; we handle the Georgian-side filings and meetings on the ground. Standard timelines: 7-14 working days for IE; 14-30 working days for LLC structures; 30-60 working days for special-status approvals (Virtual Zone, International Company).
Do I need to live in Georgia to own a Georgian company?#
No. None of the four structures require Georgian residency or physical presence. Foreign individuals own and operate Georgian companies from their home countries. Tax-residency questions (whether owning the company creates Georgian tax-residency obligations for the owner) are separate from company ownership and depend on the owner's individual situation.
Can I switch structures later?#
Yes, in most cases. Switching from IE to an LLC structure is common as turnover scales beyond the Small Business Status threshold. Switching between LLC special statuses (to Virtual Zone or to International Company) requires meeting the new regime's eligibility criteria and applying for the relevant status. We handle structure migrations as part of ongoing engagement.
How does company setup interact with banking and residency?#
Most foreign founders sequence Company Setup first, then Banking (corporate account requires a registered entity), then Residency if applicable. IE registration creates the basis for work-residence-permit application via Article 15(a). Tax residency of the owner is independent of the company's tax position. Why Georgia and not Estonia, Cyprus, or UAE?#
The IE 1% rate is the cleanest solo-professional structure in Europe. Virtual Zone's 0% corporate tax on qualifying IT income exported abroad runs lighter on administrative overhead than Estonia's e-Residency LLC. International Company Status delivers a 5% corporate rate without the minimum-employee thresholds other jurisdictions impose.
